The “How To Train Your Dragon: The Hidden World” Superfan Contest (the “Contest”) begins on or about October 26, 2018 at 12:01 a.m. Pacific Time (“PT”) and ends on December 10, 2018 at 11:59 p.m. PT (the “Promotion Period”). At the end of the Promotion Period, one (1) Grand Prize (as defined below) winner and one (1) First Prize (as defined below) winner will be selected from all eligible Submissions (as defined below) received during Promotion Period. Entry in the Contest does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Contest, each entrant (and if entrant is a minor in his or her state of jurisdiction, such entrant’s parent or legal guardian) unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Universal Pictures Marketing, a division of Universal Film Exchanges LLC, 100 Universal City Plaza, Universal City, CA 91608 (“Sponsor”), which shall be final and binding in all respects.
The Contest is only open to permanent, legal residents of the United States who are physically residing in one (1) of the forty-eight continental United States or the District of Columbia (excluding Alaska, Hawaii, Puerto Rico, Guam, the Virgin Islands and other United States Territories), and who are thirteen (13) years of age or older at the time of entry. Officers, employees and directors of Sponsor and each of its subsidiaries and affiliated companies, advertising, promotion, or production agencies, web masters and web suppliers (collectively, the “Promotion Entities”) (and their respective IRS dependents, immediate family members and individuals residing in their same household) are not eligible to participate or win a prize. All applicable federal, state and local laws apply.
During the Promotion Period, prospective entrants must visit www.dragonsuperfan.com (the “Website”), fill out the required entry information and upload a video (the “Video”), not to exceed sixty (60) seconds in duration, and follow the on-screen instructions to enter the Contest (collectively, the “Submission”). Once the Video is uploaded, entrant must click “submit” to complete Submission. The Video must be based on either of the following themes:
(i) A recreation of entrant’s favorite scene from the films HOW TO TRAIN YOUR DRAGON or HOW TO TRAIN YOUR DRAGON 2.
(ii) An explanation of why entrant is the biggest HOW TO TRAIN YOUR DRAGON fan.
• You are welcome to include any kind of HOW TO TRAIN YOUR DRAGON item in your Video, but nothing is specifically required.
• Do not include franchises other than HOW TO TRAIN YOUR DRAGON in your Video.
• Do not include any third-party trademarked or copyrighted materials.
• Do not use music from the original soundtrack.
• Do not use audio and visual elements from the films.
By clicking on “submit,” entrant unconditionally authorizes Sponsor to share entrant’s Video on the official HOW TO TRAIN YOUR DRAGON social media accounts. Limit one (1) entry per person.
Each entrant represents and warrants that entrant’s Submission does not violate any applicable laws, rules and/or regulations and that he/she has the sole and exclusive right to grant all rights granted to Sponsor in these Official Rules and Sponsor may exercise such rights without obligation or liability to any third party.
• Except for elements that are in the public domain, entrant’s Video is wholly original and does not, and Sponsor’s reproduction, publishing, displaying and/or other use of such Video will not, infringe on any rights of third parties, including, without limitation, copyright, trademark, moral rights, privacy, or publicity, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract. For the purposes of clarity, modifying, enhancing or altering a third party’s preexisting work does not qualify as entrant’s original creation.
• Entrant is under no restriction, contractual or otherwise, that will prevent Sponsor’s use of the Video and the Video is free of any and all liens, encumbrances and claims of third parties.
• Entrant’s Video was created by entrant and entrant has the permission of any person who appears in entrant’s Video or who entrant identifies or otherwise refers to in entrant’s Video. Entrant has the written consent of the parent or legal guardian of any minor that appears in the Video and Sponsor reserves the right to request copies of any such consent.
• Before involving any other person in the Video, entrant disclosed to such other persons these Official Rules and that the entrant alone is participating in the Contest and the entrant alone will win a prize if the Video is determined to be a prize winner.
• Entrant has secured all necessary permissions, location releases and licenses for any visual and audio material contained in the Video.
• Entrant’s Video does not contain or reference any brand names, products or services of any company (apart from Sponsor’s) or any third party trademarks, copyrights, logos, trade dress or promotion of any brand, product or service.
• Entrant’s Video does not create or imply any association or endorsement between Sponsor and any individual, entity or products and services.
• Entrant’s Video does not advertise entrant’s or any third party’s products or services.
• Entrant’s Video does not contain any personal information (e.g., your name, e-mail address or phone number); if the Video contains personal information, it is entrant’s sole responsibility to remove all such personal information from the Video before uploading the Video to the Website.
• Entrant’s Video is suitable for public presentation and does not contain content, images or other material that: (i) is misleading, fraudulent, deceptive, inappropriate, indecent, lewd, obscene, offensive, sexually explicit, pornographic, harmful, tortious, threatening, harassing, hateful, disparaging, defamatory, slanderous or libelous, (ii) depicts an unsafe practice or activities that are restricted, prohibited, illegal or in violation of or contrary to any applicable federal or state laws or regulations (including without limitation, the consumption of alcohol or any other controlled substances), or (iii) reflects, advocates or promotes bigotry, racism, hatred, harm or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age.
• Entrant’s Video has not been created professionally and has not been submitted in any other contest, promotion or otherwise published for sale.
• Entrant owns or controls all right, title and interest in and to the Video including, but not limited to, its copyright.
• Entrant’s Video does not contain any virus, bugs or other deleterious material at the time when it was uploaded.
If any Submission contains material that does not comply with these Official Rules or meet the Submission Requirements for any reason, as determined by Sponsor in its sole and absolute discretion, such Submission may be rejected as ineligible for consideration. If any Video is unable to be viewed by Sponsor for any reason whatsoever outside of Sponsor’s control, such Video will be disqualified (and the Promotion Entities will not be responsible or liable for any such inability).
At the end of the Promotion Period, Sponsor will select up to one (1) Grand Prize winner and one (1) First Prize winner from all eligible Submissions received during the Promotion Period. All Submissions will be judged based upon the following criteria: (1) Creativity (40%); (2) Execution of the applicable theme (30%) and (3) Quality (30%) (the “Judging Criteria”). The runner-up to the Grand Prize winner shall be the First Prize winner. In the event of a tie for the Grand Prize or First Prize, the tied Submissions will be re-submitted to the Sponsor for a re-judging (solely between the tied Submissions). In the event that a tie remains after re-judging, the Submission with the highest score in the creativity criteria will be declared the Grand Prize winner or First Prize winner, as applicable. All decisions of Sponsor are final and binding in all respects of the Contest and not subject to challenge or appeal. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. Prize winners will be notified by telephone, e-mail, and/or mail using the contact information provided at the time of entry. Each potential winner (or, if potential winner is a minor in his or her state of residence, his/her parent or legal guardian) may be required to execute and return an affidavit of eligibility, release of liability, and, except where prohibited, publicity release within two (2) days of notification. Time is of the essence in awarding the Grand Prize and First Prize. If, despite reasonable efforts, a potential Grand Prize or First Prize winner does not respond within twenty-four (24) hours of the first notification attempt, or if a prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may forfeit the applicable prize and an alternate winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the applicable prize for any reason prior to award, such potential Grand Prize winner or First Prize winner may be disqualified, and an alternate winner may be selected. Sponsor may successively attempt to contact up to two (2) potential Grand Prize winners and First Prize winners in accordance with such procedure, and if there is still no confirmed winner after such attempts have been made, if any, the applicable prize may go unawarded.
The Grand Prize shall consist of a three (3) night trip to the “2019 Rose Bowl Parade and Game” in Los Angeles, CA to be determined by Sponsor (the “Trip”) for Grand Prize winner and up to three (3) guests (“Guests”). The Trip includes roundtrip economy class airfare for Grand Prize winner and up to three (3) Guests from a major airport located within a major city within the United States to Los Angeles, CA (ARV of round trip economy class airfare for four (4): $2,000); two (2) standard, double occupancy hotel rooms in the Los Angeles, CA area for the duration of the Trip (ARV of hotel rooms for three (3) nights: $1500); four (4) tickets to attend the 2019 Rose Parade (the “Rose Parade”) scheduled to take place on January 1, 2018 (ARV of 2019 Rose Parade tickets: $400); and four (4) tickets to the Rose Bowl Game presently scheduled to take place on January 1, 2019 (the “Rose Bowl Game”) (ARV of Rose Bowl Game tickets: $600). The total ARV of the Grand Prize is Four Thousand Five Hundred United States Dollars and Zero Cents (USD $4,500). The actual value of the Grand Prize may vary depending on the number of travelers, point of departure and fluctuations in the cost of air transportation. All details of Grand Prize shall be determined by Sponsor in its sole discretion. Sponsor reserves the right to substitute the Grand Prize (or portion thereof) with a similar prize (or prize element) of comparable or greater value.
Grand Prize winner must be able to travel from December 31, 2018 through January 3, 2019 (or on such other dates designated by Sponsor in its sole and absolute discretion). The Trip awarded to the Grand Prize winner must be taken within dates provided by the Sponsor or the Grand Prize will be forfeited. Travel arrangements must be made through Sponsor’s agent, on a carrier of Sponsor’s choice. Sponsor has the right in its sole discretion to substitute ground transportation for air transportation depending on Grand Prize winner’s place of residence. Other travel and accommodation restrictions, conditions and limitations may apply. Grand Prize winner will not receive further financial or other assistance in planning or executing travel and lodging. All expenses related to the Grand Prize and associated travel and lodging that are not included as part of the Grand Prize package, are solely Grand Prize winner’s responsibility, including, but not limited to: taxes, gratuities, meals, domestic transfer, extension of stay, personal expenses & insurance are excluded in the Grand Prize.
The Rose Parade and Rose Bowl Game are subject to cancellation. In the event that the Rose Parade or Rose Bowl Game does not or cannot take place as scheduled or at all, for reasons including but not limited to scheduling conflicts, cancellations, postponement, an event of force majeure or for any other reason, Grand Prize winner shall be given the remaining items/elements of the Grand Prize, and Sponsor’s obligation as to the Rose Parade or Rose Bowl Game shall be nullified and no other or additional compensation shall be awarded. Rose Parade and Rose Bowl Game seating assignments will be determined at Sponsor’s sole and absolute discretion.
If the Grand Prize is won by a minor, the prize will be awarded in the name of such minor’s parent or legal guardian. Guests must be eighteen (18) years of age and the age of majority in his/her jurisdiction of residence, unless such minor travel companion is the child or legal ward of the Grand Prize winner. If Grand Prize winner elects to partake in any or all portions of the Grand Prize without three (3) Guests, the Grand Prize will be awarded in increments suitable for the actual number of travelers with no substitute prize or compensation being provided to the Grand Prize winner. The Grand Prize winner and his/her Guests must possess all required travel documents as required by airport, airline and TSA authorities. Restrictions and blackout dates will apply. Sponsor shall not be responsible for any cancellations, delays, diversions, substitutions or any acts or omissions whatsoever by the transportation companies or any other persons providing any of these services and accommodations necessitated by same. Grand Prize winner and Guests must travel on the same itinerary.
The First Prize shall consist of a $500 AMC Theatre gift card (ARV of gift card: $500). If the First Prize is won by a minor, the prize will be awarded in the name of such minor’s parent or legal guardian. The total ARV of all prizes is Five Thousand United States Dollars and Zero Cents (USD $5,000).
No cash equivalent or substitution of prizes is offered, except in the sole discretion of the Sponsor. Prizes are non-transferrable, non-refundable and have prize winners, who will receive an IRS Form 1099 in his/her name for the fair market value of the prize he/she has won for the calendar year in which the prize was won, if applicable. The prize winners bear all risk of loss or damage to the Grand Prize or First Prize after the respective prize is placed by Sponsor with a third-party common carrier for shipment to the prize winners. The Grand Prize and First Prize will be shipped only to an address in the United States. No portion of the Grand Prize or First Prize will be replaced if lost or stolen. Any difference between actual value and stated ARV will not be awarded.
GRAND PRIZE AND FIRST PRIZE ARE AWARDED “AS-IS’’ AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). THE SPONSOR (INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES AND AFFILIATES) EXPRESSLY DISCLAIM ANY AND ALL RESPONSIBILITY AND LIABILITY ARISING FROM USE OR REDEMPTION OF THE GRAND PRIZE OR FIRST PRIZE, AS FURTHER SET FORTH IN THESE OFFICIAL RULES, INCLUDING BUT NOT LIMITED TO ANY DAMAGES OR INJURIES SUSTAINED BY A PRIZE WINNER, GRAND PRIZE WINNER’S GUESTS, OR OTHER USERS OF THE GRAND PRIZE OR FIRST PRIZE FOR ANY REASON, INCLUDING FROM ANY PART OF ANY APPLICABLE TRAVEL AND/OR ANY PART OF THE GRAND PRIZE OR FIRST PRIZE OR ANY OTHER CAUSE(S) BEYOND SPONSOR’S REASONABLE CONTROL.
For good and valuable consideration, the receipt and legal sufficiency of which is hereby acknowledged, each entrant into the Contest hereby irrevocably grants Sponsor, its successors and assigns, a non-exclusive, royalty-free and irrevocable right and license (the “License”) (but not the obligation) to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the Submission and to incorporate the Submission in other works in any and all markets and media worldwide in perpetuity. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Submission for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have therein. Sponsor shall have the right to freely assign its rights hereunder, in whole or in part, to any person or entity. The rights granted herein shall include, without limitation (i) all reproduction, distribution, adaptation, performance, fixation, rental and lending rights, exhibition, broadcast and all other rights of communication to the public; (ii) the right to adapt, rearrange, delete from, add to and or make changes to the Submission, and to use all or any part thereof in new versions, adaptations as Sponsor shall from time to time determine in its sole discretion; (iii) the right to authorize, prohibit and/or control the renting, lending, fixation, reproduction, importation and/or other exploitation of the Submission as may be conferred under any applicable laws, regulations or directives, including, without limitation, or any other jurisdiction. Sponsor shall retain the rights granted in each Submission even if the Submission is disqualified or fails to meet the Submission Requirements or even it if it determined that the entrant who made the Submission is ineligible to enter the Contest or win a prize.
Each person who enters this Contest represents and warrants as follows: (i) the Submission is the entrant’s own original, previously unpublished, and previously unproduced work; (ii) the Submission does not contain any computer virus (as applicable), is otherwise uncorrupted, is wholly original with entrant, and as of the date of submission, is not the subject of any actual or threatened litigation or claim; (iii) the Submission does not and will not violate or infringe upon the intellectual property rights or other rights of any third party; and (iv) the Submission does not and will not violate any applicable laws, and is not and will not be defamatory or libelous. Each entrant hereby agrees to indemnify and hold the Promotion Entities harmless from and against any and all third-party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.
Acceptance of a prize constitutes winner’s permission for the Promotion Entities to use winner’s name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed without further compensation. By participating in the Contest, entrants (and if a minor in his/her state of jurisdiction, such minor’s parent or legal guardian) agree that the Promotion Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize; and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. The Promotion Entities assume no responsibility for any injury or damage to entrants or any other person, or to entrant’s or any other person’s computer or telephone equipment relating to or resulting from entering, participating in or downloading materials or software in connection with this Contest or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person in connection with this Contest or any other contest, sweepstakes, promotion or event of any kind or nature sponsored or administered by Sponsor or its affiliate, subsidiary or parent companies, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. Sponsor reserves the right to modify, extend, suspend, or terminate the Contest if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Contest as contemplated herein. In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Contest as contemplated herein by any event beyond its control, including but not limited to, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then Sponsor shall have the right to modify, suspend, extend or terminate the Contest. If the Contest is terminated before the designated end date or time, Sponsor will (if possible) select the Grand Prize winner and First Prize winner from all eligible, non-suspect entries received up to the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with the law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
Each entrant hereby acknowledges and agrees that the relationship between the entrant and the Sponsor is not a confidential, fiduciary, or other special relationship, and that the entrant’s decision to provide the entrant’s Submission to Sponsor for purposes of the Contest does not place the Sponsor in a position that is any different from the position held by members of the general public with regard to elements of the entrant’s Submission. Each entrant understands and acknowledges that the Sponsor has wide access to ideas, formats, stories, photos, videos, designs, suggestions and other literary/artistic materials, and that new ideas are constantly being submitted to it or being developed by their own employees. Each entrant also acknowledges that many ideas or stories may be competitive with, similar or identical to the Submission and/or each other in theme, idea, plot, format or other respects. Each entrant acknowledges and agrees that such entrant will not be entitled to any compensation as a result of any Sponsor’s use of any such similar or identical material. Each entrant acknowledges and agrees that the Sponsor does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and to the Submission. Without limiting the generality of the foregoing, entrant understands and agrees that Sponsor’s use of material containing features or elements similar or identical to those contained in the Submission shall not obligate Sponsor to negotiate with entrant nor entitle entrant to any compensation if Sponsor determines that it has an independent legal right to use such other material not derived from entrant (either because such features or elements are not new or novel, were not originated by entrant, or were heretofore or may hereafter be independently created and submitted by other persons or sources, including Sponsor’s employees) and Sponsor shall have no liability to entrant or any third party in conjunction therewith. Finally, each entrant acknowledges that, with respect to any claim by entrant relating to or arising out of Sponsor’s actual or alleged exploitation or use of any Submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable entrant will not be irreparable or otherwise sufficient to entitle such entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of any “How To Train Your Dragon” film or any other production based on or allegedly based on the Submission, and entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
Sponsor shall have no obligation (express or implied) to use any Submission to otherwise exploit any Submission or, if commenced, to continue the distribution or exploitation thereof, and Sponsor may at any time abandon the use of the Submission for any reason, with or without legal justification or excuse, and contestants shall not be entitled to any damages or other relief by reason thereof.
Because of the unique nature and scope of the Contest, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest. Sponsor cannot accurately predict the number of entrants who will participate in the Contest.
ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE UNITED STATES, STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.
